These Terms apply to all visitors, users, and clients who access or use our website and services. If you are using our services on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

4. Use of Website

By accessing our website, you agree to:

• Use the website only for lawful purposes and in a manner that does not infringe the rights of others

• Not transmit any viruses, malware, or harmful code

5. Intellectual Property

• Upon full payment, clients receive ownership of final deliverables created specifically for them (e.g., website files, graphic designs). Udhsri Technologies retains the right to display the work in its portfolio.
• Third-party tools, stock assets, fonts, or software licences used in deliverables remain subject to their respective licences.
• Any pre-existing intellectual property of Udhsri Technologies used in a project (e.g., code libraries, design templates) remains our property and is licensed to the client for use only within the specific project.

6. Client Responsibilities

To ensure smooth project delivery, clients agree to:

• Provide accurate, complete, and timely information, materials, content, and feedback required for the project
• Designate an authorised representative as the primary point of contact for approvals and decisions
• Review and approve drafts or deliverables within the agreed timeframe (typically 3–5 working days)
• Ensure that any content, images, or materials provided to us do not infringe third-party intellectual property rights
• Make payments as per the agreed payment schedule
• Not engage us to create content that is illegal, misleading, defamatory, or violates any applicable law

Delays caused by the client's failure to provide timely approvals or materials may result in revised delivery timelines, and Udhsri Technologies shall not be held liable for such delays.

7. Payment Terms

• All project fees, rates, and payment schedules are specified in individual project proposals or agreements.
• A non-refundable advance (typically 50% of the total project cost) is required before commencement of work.
• The remaining balance is due upon project completion and before final files or live deployment are handed over.
• For ongoing monthly services (SEO, Social Media Management, etc.), payments are due at the beginning of each month.
• Late payments may attract a delay charge of 2% per month on the outstanding amount.
• All prices are exclusive of applicable taxes (GST) unless stated otherwise.
• Udhsri Technologies reserves the right to pause or suspend services in case of non-payment.

8. Project Delivery & Timelines

• Estimated project timelines are provided in the project proposal and are subject to client cooperation and timely feedback.
• Timelines commence from the date of receipt of advance payment and all required project materials from the client.
• Revisions beyond the agreed number of revision rounds may be charged additionally.
• Rush delivery requests may be accommodated subject to availability and additional charges.
• Udhsri Technologies shall not be liable for delays caused by circumstances beyond our control (force majeure events, third-party service outages, etc.).

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, pricing information, client data, and project details. Neither party shall disclose such information to third parties without prior written consent, except as required by law.

Udhsri Technologies may, however, display completed work in its portfolio, case studies, and marketing materials unless the client expressly requests confidentiality in writing.

10. Disclaimer of Warranties

We do not warrant that:

• The website will be uninterrupted, error-free, or free of viruses or harmful components
• The results of SEO, Google Ads, or Social Media campaigns will meet specific performance guarantees (search rankings, ad results, and social media outcomes are subject to platform algorithms beyond our control)
• All information on the website is completely accurate, complete, or current at all times

11. Limitation of Liability

To the fullest extent permitted by applicable law, Udhsri Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or relating to:

• Use or inability to use our website or services
• Changes to search engine algorithms affecting SEO rankings
• Changes to social media platform policies affecting campaign performance
• Third-party service outages (hosting, domain, email providers)
• Errors or omissions in client-supplied content or materials

Our total cumulative liability to any client shall not exceed the total fees paid by that client to Udhsri Technologies in the 3 months preceding the claim.

12. Termination

Either party may terminate an ongoing service agreement by providing 30 days' written notice to the other party. Upon termination:

• The client shall pay for all work completed up to the date of termination
• Udhsri Technologies shall deliver all completed work and assets for which payment has been received
• Advance payments for work not yet commenced may be refunded at Udhsri Technologies' discretion
• Udhsri Technologies reserves the right to terminate services immediately in cases of non-payment, abusive conduct, or requests to create illegal or harmful content

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Panchkula, Haryana, India.

14. Changes to Terms

Udhsri Technologies reserves the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last Updated" date.
